COPIC Disclaimer & Limitation of Liability Policy
Effective Date: July 1, 2026
1. Purpose
This Disclaimer & Limitation of Liability Policy ("Policy") explains the legal limitations of COPIC's responsibilities, the nature of the services provided through the COPIC Platform, and the responsibilities of users.
The purpose of this Policy is to:
clarify COPIC's role as a technology platform;
explain the relationship between COPIC and its users;
establish limitations on COPIC's legal liability;
protect both users and COPIC by promoting transparency;
reduce misunderstandings regarding services offered through the Platform.
This Policy should be read together with COPIC's:
Terms and Conditions;
Privacy Policy;
Acceptable Use Policy;
Community Guidelines;
Payment & Refund Policy;
Identity Verification Policy;
Dispute Resolution Policy; and
Content & Intellectual Property Policy.
By accessing or using the COPIC Platform, users acknowledge that they have read, understood, and agreed to this Policy.
2. Scope
This Policy applies to:
all visitors;
registered users;
clients;
workers;
businesses;
administrators where applicable;
anyone accessing or using the COPIC Platform.
It applies to all Platform services, including:
user registration;
job postings;
worker applications;
messaging;
identity verification;
profile creation;
reviews and ratings;
customer support;
Platform communications.
3. Definitions
For the purposes of this Policy:
"COPIC" means the owners, operators, employees, directors, contractors, affiliates, successors, and authorized representatives of the COPIC Platform.
"Platform" means the COPIC website, applications, software, databases, services, and related technologies.
"Client" means a user who posts jobs or seeks workers through the Platform.
"Worker" means a user who applies for or performs work arranged through the Platform.
"User" means any individual or organization accessing or using the Platform.
"Services" means the technology, features, communications, and related services provided by COPIC.
4. General Disclaimer
COPIC provides an online marketplace that enables clients and workers to connect.
COPIC does not perform the work advertised through the Platform and does not supervise, direct, or control how independent users perform their work unless expressly stated otherwise.
Users remain responsible for their own decisions, actions, agreements, communications, and conduct.
Nothing contained on the Platform should be interpreted as creating legal, financial, employment, or professional obligations beyond those expressly described in COPIC's policies.
Users access and use the Platform at their own discretion and risk.
5. Platform Status
COPIC operates as a technology platform that facilitates connections between users.
Unless expressly stated otherwise, COPIC:
is not an employer;
is not a recruitment agency;
is not a labour broker;
is not an employment agency;
is not a staffing company;
is not a payment processor;
is not a financial institution;
is not an insurer;
is not a guarantor of user conduct.
COPIC does not negotiate employment contracts on behalf of users.
COPIC does not become a party to agreements entered into between clients and workers solely because those agreements originated through the Platform.
6. No Employment Relationship
Using COPIC does not create an employment relationship between:
COPIC and a client;
COPIC and a worker;
COPIC and any business using the Platform.
Nothing in the Platform, its policies, communications, or services should be interpreted as creating:
employment;
permanent employment;
temporary employment;
agency employment;
contractual employment with COPIC.
Clients remain responsible for determining whether applicable employment, labour, tax, immigration, health and safety, or other legal obligations apply to their relationships with workers.
Workers remain responsible for understanding their own legal obligations relating to work performed through the Platform.
7. Independent Contractor Provision
Unless expressly agreed otherwise in writing between users, workers using COPIC act as independent contractors or independent service providers.
Workers are responsible for:
determining how they perform their work;
complying with applicable laws;
maintaining any licences or qualifications required for their services;
paying applicable taxes;
maintaining their own insurance where appropriate;
supplying their own equipment unless otherwise agreed.
Clients remain responsible for managing their agreements with workers.
Nothing in this Policy limits any employment rights that may arise under applicable law despite the intentions of the parties.
8. No Agency Relationship
Nothing contained in the Platform creates an agency relationship between:
COPIC and users;
clients and COPIC;
workers and COPIC.
Users do not have authority to:
bind COPIC to contracts;
make promises on behalf of COPIC;
represent themselves as employees or agents of COPIC;
create legal obligations for COPIC.
Any representation suggesting otherwise is prohibited.
9. No Partnership or Joint Venture
Use of the Platform does not create:
a partnership;
a joint venture;
a franchise relationship;
a fiduciary relationship;
any similar legal relationship between COPIC and its users.
Users remain independent parties responsible for their own legal obligations.
10. User Responsibility
Users are solely responsible for:
the accuracy of information they provide;
communications with other users;
agreements they enter into;
compliance with applicable laws;
decisions relating to hiring or accepting work;
payment arrangements;
protection of their account credentials;
maintaining the confidentiality of their information.
Users should exercise appropriate judgment before entering into any agreement with another user.
11. No Guarantee of Jobs
COPIC does not guarantee that workers will receive employment, contracts, or job opportunities through the Platform.
The availability of work depends on many factors outside COPIC's control, including:
market demand;
client requirements;
worker qualifications;
geographic location;
economic conditions.
Using COPIC does not guarantee employment or future work opportunities.
12. No Guarantee of Workers
COPIC does not guarantee that clients will find suitable workers for every job posted.
Although COPIC may offer verification features and moderation tools, clients remain responsible for evaluating whether a worker is suitable for their specific needs.
Hiring decisions should be based on independent assessment and appropriate due diligence.
13. No Guarantee of Clients
COPIC does not guarantee that workers will receive responses from clients or be selected for available opportunities.
Clients remain free to determine which applicants they wish to consider, subject to applicable law and COPIC policies.
14. No Guarantee of Income
COPIC makes no representation or guarantee regarding:
future earnings;
income potential;
business success;
profitability;
number of available jobs;
frequency of work opportunities.
Any examples, estimates, or promotional materials provided by COPIC are for general informational purposes only and should not be interpreted as guarantees of financial results.
Individual results will vary depending on numerous factors beyond COPIC's control.
15. No Guarantee of Payments
COPIC does not guarantee that clients will make payments to workers or that workers will fulfil agreed services.
Unless COPIC expressly introduces integrated payment services, payment arrangements remain the responsibility of the parties involved.
Users should:
communicate clearly regarding payment terms;
retain appropriate payment records;
exercise reasonable caution before entering into financial arrangements.
COPIC may assist with administrative review of disputes in accordance with its policies, but such assistance does not constitute a guarantee of payment, collection, recovery, or enforcement of private agreements between users.
16. Services Provided "As Is"
The COPIC Platform is provided on an "as is" basis.
To the fullest extent permitted by applicable law, users acknowledge that they use the Platform entirely at their own discretion and risk.
COPIC does not warrant that:
every feature will meet every user's expectations;
the Platform will always be available;
every service will operate without interruption;
every defect will be corrected immediately;
every error will be identified before affecting users.
Users are responsible for determining whether the Platform is suitable for their individual needs.
17. Services Provided "As Available"
COPIC provides its services on an "as available" basis.
Availability may occasionally be affected by:
scheduled maintenance;
software updates;
emergency maintenance;
internet outages;
cloud service interruptions;
telecommunications failures;
cyberattacks;
force majeure events;
technical failures beyond COPIC's reasonable control.
COPIC does not guarantee uninterrupted access to the Platform.
18. No Warranty
To the fullest extent permitted by applicable law, COPIC disclaims all warranties not expressly stated in its published policies.
This includes, where legally permissible:
implied warranties;
merchantability;
fitness for a particular purpose;
satisfactory quality;
uninterrupted operation;
continuous availability;
accuracy of user-generated content;
compatibility with every device or browser.
Nothing in this Policy excludes warranties that cannot legally be excluded under applicable law.
19. Platform Availability
COPIC aims to maintain reliable services but cannot guarantee continuous availability.
Temporary interruptions may occur due to:
software upgrades;
maintenance;
infrastructure improvements;
security incidents;
internet failures;
hosting provider issues;
power failures.
COPIC will make reasonable efforts to restore services promptly whenever practical.
20. Technical Errors
From time to time, users may experience:
software bugs;
display errors;
incorrect notifications;
temporary loss of functionality;
delayed communications;
synchronization issues;
unexpected outages.
Users should report technical issues through official support channels.
COPIC will make reasonable efforts to investigate and resolve verified issues but does not guarantee immediate correction.
21. Third-Party Services
The Platform may rely on or integrate with third-party services.
Examples include:
cloud hosting providers;
email delivery services;
mapping services;
analytics providers;
authentication services;
payment providers where applicable;
telecommunications services.
These services are operated independently.
COPIC is not responsible for:
third-party outages;
third-party security incidents;
third-party terms of service;
changes made by third-party providers;
services controlled by third parties.
Users may also be subject to the policies and terms of those providers.
22. Payment Provider Disclaimer
Where third-party payment services are used, those providers are solely responsible for processing payments.
Unless expressly stated otherwise:
COPIC does not hold user funds;
COPIC does not guarantee payment processing;
COPIC does not guarantee payment authorization;
COPIC does not guarantee payment settlement.
Users should review the policies of any payment providers they choose to use.
23. External Links
The Platform may contain links to external websites or services.
These links are provided for convenience only.
COPIC does not control, endorse, or guarantee:
external websites;
third-party products;
third-party services;
external content;
third-party privacy practices.
Users access third-party websites entirely at their own risk.
24. User-Generated Content Disclaimer
The Platform contains content created by users.
Examples include:
profiles;
resumes;
job advertisements;
reviews;
ratings;
comments;
uploaded documents;
messages.
COPIC does not guarantee that user-generated content is:
accurate;
complete;
truthful;
current;
lawful.
Users should independently evaluate information before relying upon it.
25. AI Feature Disclaimer
Where COPIC provides artificial intelligence features, recommendations, or automated tools, those features are intended solely to assist users.
AI-generated outputs:
may contain errors;
may be incomplete;
should not be treated as professional advice;
should not replace independent judgment.
Users remain responsible for decisions made using AI-generated information.
26. Security Disclaimer
Although COPIC implements reasonable security measures, no online platform can guarantee absolute security.
Users acknowledge that:
cyberattacks may occur;
unauthorized access may occur despite reasonable safeguards;
internet communications carry inherent risks.
Users are responsible for protecting their own accounts by:
maintaining strong passwords;
protecting login credentials;
reporting suspicious activity promptly.
27. User Decisions
Users are solely responsible for decisions relating to:
hiring workers;
accepting work;
negotiating payment;
entering contracts;
sharing information;
verifying another user's suitability.
COPIC does not guarantee that any user is suitable for another user's particular needs.
28. Limitation of Liability
To the fullest extent permitted by applicable law, COPIC, its owners, employees, officers, directors, contractors, affiliates, successors, and representatives shall not be liable for any losses arising from or related to:
agreements between users;
employment decisions;
hiring decisions;
rejection of applications;
user misconduct;
fraudulent activity by users;
payment disputes;
identity theft committed by users;
inaccurate user information;
user-generated content;
temporary Platform outages;
technical failures;
third-party services;
unauthorized access beyond COPIC's reasonable control;
interruption of business;
loss of goodwill;
reputational harm;
indirect or consequential damages.
29. Exclusion of Certain Damages
To the fullest extent permitted by law, COPIC shall not be liable for:
indirect damages;
incidental damages;
special damages;
exemplary damages;
punitive damages;
consequential damages;
loss of profits;
loss of revenue;
loss of business opportunities;
loss of anticipated savings;
data loss resulting from circumstances beyond COPIC's reasonable control.
This limitation applies even if COPIC has been advised that such losses might occur.
30. Maximum Liability
Where applicable law permits limitation of liability, COPIC's total liability arising from a user's use of the Platform shall not exceed the amount of Platform service fees actually paid by that user to COPIC during the twelve (12) months immediately preceding the event giving rise to the claim.
If no Platform service fees have been paid to COPIC during that period, COPIC's maximum liability shall be limited to the minimum amount permitted under applicable law.
Nothing in this Policy excludes or limits liability that cannot legally be excluded or limited under the laws of the Republic of Kenya or any other applicable law.
31. Indemnification
To the fullest extent permitted by applicable law, users agree to defend, indemnify, and hold harmless COPIC, its owners, directors, officers, employees, contractors, affiliates, successors, licensors, service providers, and authorized representatives from and against any claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and reasonable legal expenses arising out of or relating to:
the user's use of the Platform;
violation of this Policy or any other COPIC policy;
breach of the Terms and Conditions;
violation of any applicable law or regulation;
infringement of another person's intellectual property rights;
misuse of another person's personal information;
fraudulent activity;
submission of false information;
identity verification fraud;
payment-related misconduct;
user-generated content submitted by the user;
disputes between users;
negligent or intentional misconduct by the user.
This indemnification obligation survives the suspension, termination, or closure of the user's account where permitted by applicable law.
32. Responsibility for User Agreements
Clients and workers are solely responsible for the agreements they enter into with one another.
Users are encouraged to clearly agree on:
the scope of work;
payment terms;
completion timelines;
responsibilities;
confidentiality obligations;
cancellation arrangements.
COPIC is not responsible for negotiating, drafting, enforcing, or interpreting agreements entered into between users.
33. User Breach
If a user breaches this Policy or any other COPIC policy, COPIC may take one or more enforcement actions, including:
issuing warnings;
requesting corrective action;
removing content;
restricting Platform features;
suspending accounts;
permanently terminating accounts;
rejecting verification requests;
preserving evidence;
reporting unlawful conduct to competent authorities where required or permitted by law.
COPIC will determine appropriate enforcement measures based on the seriousness, frequency, and circumstances of the breach.
34. Third-Party Claims
Where a third party brings a claim against COPIC arising from a user's conduct, the user agrees to cooperate reasonably with COPIC in responding to the claim.
COPIC reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by the user.
Users agree not to settle any claim affecting COPIC without COPIC's prior written consent where such consent is reasonably required.
35. Force Majeure
COPIC shall not be liable for any delay, interruption, or failure to perform its obligations where such delay or failure results from events beyond its reasonable control.
Examples include:
natural disasters;
floods;
earthquakes;
fires;
epidemics or pandemics;
war;
terrorism;
civil unrest;
government actions;
labour disputes;
internet failures;
telecommunications failures;
widespread cyberattacks;
prolonged power outages;
failures of third-party infrastructure.
COPIC will make reasonable efforts to resume normal operations as soon as reasonably practicable following such events.
36. Reservation of Rights
COPIC reserves all rights not expressly granted under this Policy.
Without limitation, COPIC reserves the right to:
modify Platform features;
introduce new services;
discontinue services;
investigate suspected misconduct;
refuse service where permitted by law;
remove content that violates Platform policies;
update security measures;
improve fraud prevention systems.
The exercise or non-exercise of any right under this Policy does not limit COPIC's ability to exercise that right in the future.
37. Severability
If any provision of this Policy is determined by a court or other competent authority to be unlawful, invalid, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable.
If modification is not possible, the affected provision shall be severed from this Policy without affecting the validity or enforceability of the remaining provisions.
The remainder of this Policy shall continue in full force and effect.
38. No Waiver
Failure by COPIC to enforce any provision of this Policy shall not constitute a waiver of that provision or any other right.
Any waiver shall be effective only if made in writing by an authorized representative of COPIC.
A waiver of one breach shall not be interpreted as a waiver of any future breach.
39. Entire Understanding
This Policy forms part of the contractual relationship between COPIC and its users.
It should be read together with:
Terms and Conditions;
Privacy Policy;
Cookie Policy;
Acceptable Use Policy;
Community Guidelines;
Identity Verification Policy;
Payment & Refund Policy;
Dispute Resolution Policy;
Content & Intellectual Property Policy;
Data Retention & Deletion Policy; and
Security & Responsible Disclosure Policy.
Where there is any inconsistency between this Policy and the Terms and Conditions, the Terms and Conditions shall prevail unless expressly stated otherwise.
40. Changes to this Policy
COPIC may amend this Policy from time to time to reflect:
legal developments;
Platform improvements;
new services;
security enhancements;
operational requirements.
Where material changes are made, COPIC may notify users through:
Platform notifications;
email;
account announcements; or
other reasonable communication methods.
The updated Policy becomes effective on the date specified within the revised version.
Continued use of the Platform after the effective date constitutes acceptance of the revised Policy.
41. Governing Law
This Policy shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
Any dispute relating to this Policy shall be subject to the jurisdiction of the competent courts of Kenya, unless applicable law requires otherwise.
Nothing in this Policy limits any rights that users may have under mandatory provisions of applicable law.

Users may contact COPIC by:
submitting a support request through the Platform;
using the official support page;
emailing COPIC's official support email address once published.
COPIC will make reasonable efforts to respond to legitimate inquiries within a reasonable timeframe.
43. User Acknowledgement
By creating an account, posting jobs, applying for work, communicating with other users, submitting verification documents, or otherwise using the COPIC Platform, users acknowledge and agree that:
they have read and understood this Disclaimer & Limitation of Liability Policy;
they accept COPIC's role as a technology platform and not as an employer, recruitment agency, labour broker, financial institution, or payment processor unless expressly stated otherwise;
they understand that agreements between clients and workers are primarily their own responsibility;
they accept the limitations of liability described in this Policy to the fullest extent permitted by applicable law; and
they agree to comply with this Policy and all other applicable COPIC policies.
Effective Date
This Disclaimer & Limitation of Liability Policy is effective from July 1, 2026, and remains in force until amended or replaced by COPIC.
