1. Introduction

Welcome to COPIC, a digital employment and workforce management platform owned and operated by Blue Peak Limited ("Blue Peak", "Company", "we", "our", or "us").

These Terms and Conditions ("Terms") govern your access to and use of the COPIC website, mobile applications, APIs, software, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. Company Information

3. Eligibility

You may only use COPIC if you:

are at least 18 years old;

possess legal capacity to enter into binding agreements;

provide accurate registration information;

comply with applicable laws.

The Company reserves the right to suspend or terminate any account found to contain false or misleading information.

4. User Accounts

Users are responsible for:

maintaining password confidentiality;

all activity occurring under their account;

keeping information accurate;

protecting login credentials.

Blue Peak shall not be liable for losses arising from unauthorized account access resulting from the user's negligence.

5. Identity Verification

To improve safety and reduce fraud, COPIC may require identity verification.

Verification may include:

Government-issued identification

Selfie verification

Additional documentation requested by the Company

Blue Peak reserves the sole right to approve, reject, or revoke verification status.

Providing false documentation may result in:

permanent suspension;

account termination;

reporting to law enforcement where applicable.

6. Platform Services

COPIC acts solely as a technology platform that facilitates connections between clients and workers.

Blue Peak:

is not an employer;

is not an employment agency;

does not guarantee employment;

does not guarantee worker performance;

does not supervise work performed between users.

Users remain solely responsible for contracts entered into outside or through the Platform.

7. Payments

Where applicable:

Platform service fees are payable as communicated.

Clients remain responsible for paying workers.

Workers remain responsible for complying with payment verification procedures.

Blue Peak is not responsible for disputes arising from payments made outside approved procedures.

8. User Responsibilities

Users agree NOT to:

commit fraud;

impersonate another person;

upload false identification;

post illegal jobs;

harass users;

distribute malware;

interfere with platform security;

scrape data;

reverse engineer the software;

create fake accounts;

misuse the platform.

Violation may result in immediate suspension without notice.

9. Intellectual Property

The Platform, including but not limited to:

software;

source code;

APIs;

algorithms;

databases;

artificial intelligence models;

graphics;

logos;

icons;

trademarks;

workflows;

interface designs;

animations;

branding;

documentation;

text;

audio;

videos;

databases;

architecture;

business methods;

design systems;

are the exclusive intellectual property of Blue Peak Limited unless otherwise stated.

All rights are reserved.

No ownership rights are transferred to users.

10. Copyright Protection

All original content appearing on COPIC is protected under applicable copyright laws and international copyright conventions.

Without prior written consent from Blue Peak Limited, no person may:

copy;

modify;

reproduce;

distribute;

republish;

mirror;

translate;

decompile;

reverse engineer;

exploit commercially;

create derivative works;

remove copyright notices.

Unauthorized use may result in:

account termination;

civil proceedings;

criminal proceedings where permitted by law;

claims for damages;

injunctive relief.

11. Trademark Protection

The following names, marks, and logos are proprietary to Blue Peak Limited:

COPIC

Blue Peak

COPIC logo

Blue Peak logo

Any unauthorized use is strictly prohibited.

Nothing contained within the Platform grants any license to use these marks.

12. Software License

Blue Peak grants users a limited, revocable, non-transferable, non-exclusive license to use the Platform solely for its intended purpose.

Users may not:

sell the software;

sublicense it;

copy it;

distribute it;

modify it;

create competing products from it.

13. Reverse Engineering

Users expressly agree not to:

inspect source code;

decompile;

disassemble;

bypass security;

circumvent authentication;

exploit vulnerabilities;

automate attacks.

Any attempt constitutes a material breach of these Terms.

14. Artificial Intelligence

Any AI features available on the Platform remain proprietary technology owned by Blue Peak Limited.

Users receive no ownership rights over AI models or outputs beyond the limited license expressly granted.

15. Data Protection

Blue Peak processes personal information in accordance with applicable privacy laws.

By using COPIC, users consent to the collection, processing, and storage of information necessary for operating the Platform.

16. User Content

Users retain ownership of content they upload.

However, users grant Blue Peak a worldwide, royalty-free license to:

host;

display;

store;

transmit;

process;

such content solely for providing Platform services.

17. Prohibited Activities

Users shall not:

violate laws;

infringe intellectual property rights;

upload offensive material;

abuse other users;

manipulate rankings;

commit fraud;

attempt unauthorized access;

create bots without authorization.

18. Suspension and Termination

Blue Peak may suspend or terminate any account where it reasonably believes a user has:

violated these Terms;

committed fraud;

abused the Platform;

endangered other users;

violated applicable laws.

Termination may occur without prior notice.

19. Disclaimer

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

Blue Peak makes no warranties regarding:

uninterrupted operation;

availability;

accuracy;

suitability;

fitness for a particular purpose;

error-free functionality.

20. Limitation of Liability

To the maximum extent permitted by law, Blue Peak Limited shall not be liable for:

indirect damages;

lost profits;

business interruption;

data loss;

reputational loss;

consequential damages.

The Company's total liability shall not exceed the total amount of fees paid by the user to Blue Peak during the preceding twelve (12) months.

21. Indemnification

Users agree to indemnify and hold harmless Blue Peak Limited, its directors, employees, officers, affiliates, contractors, and agents against any claims, damages, liabilities, losses, costs, and legal expenses arising from:

breach of these Terms;

misuse of the Platform;

violation of law;

infringement of third-party rights.

22. Security

Blue Peak employs reasonable technical and organizational measures to secure the Platform.

However, no system is completely secure, and users acknowledge the inherent risks associated with internet-based services.

23. Availability

The Company may modify, suspend, discontinue, or update any portion of the Platform without prior notice.

24. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya.

25. Dispute Resolution

Before commencing legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiations.

If unresolved, disputes shall be submitted to the competent courts of Kenya unless otherwise required by applicable law.

26. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

27. Entire Agreement

These Terms constitute the entire agreement between the user and Blue Peak Limited regarding use of the Platform and supersede all prior agreements relating to the same subject matter.

28. Changes to Terms

Blue Peak Limited reserves the right to amend these Terms at any time.

Updated versions become effective immediately upon publication unless otherwise stated.

Continued use of the Platform constitutes acceptance of the revised Terms.
